1. Acceptance of Terms

By accessing our website, submitting a carrier onboarding application, requesting a quote, or otherwise engaging with Morvi Logistics Private Limited ('Morvi Logistics', 'we', 'us', or 'our'), you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please discontinue use of our services immediately.

2. Description of Services

Morvi Logistics provides freight dispatch and load-matching services to owner-operators and small trucking companies operating in the United States. Our services include, but are not limited to, load search and negotiation, rate negotiation with brokers, driver communication support, appointment scheduling, GPS tracking coordination, safety compliance assistance, documentation management, driver relations support, and factoring assistance. We act as a dispatch intermediary and are not a freight broker, carrier, or motor carrier as defined under applicable US federal regulations.

3. Eligibility and Account Responsibilities

To use our services, you must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your company. If you are registering as a carrier, you represent and warrant that your company holds all required operating authorities, licences, and insurance as mandated by the Federal Motor Carrier Safety Administration (FMCSA) and any applicable state regulations. You are responsible for maintaining the accuracy of all information provided to us, including MC numbers, DOT numbers, insurance certificates, and contact details. You agree to notify us promptly of any changes to this information.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• Provide false, misleading, or fraudulent information during onboarding or in connection with any load
• Use our services to facilitate illegal freight operations or transport prohibited goods
• Attempt to circumvent, disable, or interfere with security features of our website or systems
• Engage in any conduct that could damage, disable, or impair our services or servers
• Use automated tools, bots, or scrapers to access or extract data from our website without prior written consent
• Harass, threaten, or abuse our staff, brokers, shippers, or other carriers in connection with our services

5. Carrier Obligations

Carriers who engage Morvi Logistics for dispatch services agree to the following obligations:

• Maintain valid operating authority, FMCSA registration, and required insurance at all times
• Notify Morvi Logistics immediately of any changes to operating authority, insurance, or safety ratings
• Honour load commitments made through our dispatch services; cancellations must be communicated promptly
• Comply with all applicable Hours of Service (HOS) regulations and safety requirements
• Ensure drivers are properly licenced, qualified, and compliant with FMCSA regulations
• Provide accurate and timely updates on load status, delays, or incidents as required by our dispatch team

6. Fees and Payment

Dispatch service fees are agreed upon separately in your carrier service agreement. All fees are due as specified in that agreement. Morvi Logistics reserves the right to suspend dispatch services for accounts with outstanding balances. We are not responsible for any delays in broker or shipper payments to carriers; our fee obligations are independent of the carrier's receipt of freight payment.

7. Service Availability

We endeavour to provide continuous and reliable dispatch support during agreed service hours. However, we do not guarantee uninterrupted availability of our services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. We shall not be liable for any loss or inconvenience arising from temporary service interruptions due to maintenance, technical issues, or circumstances beyond our reasonable control, including force majeure events such as natural disasters, government actions, or telecommunications failures.

8. Intellectual Property

All content on this website, including text, graphics, logos, icons, images, and software, is the property of Morvi Logistics or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent. Nothing in these Terms grants you any licence to use our trademarks, trade names, or service marks.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Morvi Logistics, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to Morvi Logistics in the three months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Morvi Logistics and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any freight operations conducted by you or your drivers; or (e) any third-party claim arising from your actions or omissions in connection with loads dispatched through our services.

11. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will meet your specific requirements, that results obtained will be accurate or reliable, or that any errors will be corrected. We make no representations regarding the suitability of any load, broker, or shipper introduced through our dispatch services.

12. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to binding arbitration in accordance with the rules of a mutually agreed arbitration body. The arbitration shall be conducted in English and the seat of arbitration shall be Gurgaon, Haryana, India. The arbitral award shall be final and binding on both parties.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, India. If you are a US-based carrier, you acknowledge that Morvi Logistics operates as a service provider from India and that these governing law provisions apply to the contractual relationship between us.

14. Termination

Either party may terminate the service relationship at any time with written notice as specified in the carrier service agreement. We reserve the right to immediately suspend or terminate your access to our services without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or posed a risk to our operations or reputation. Upon termination, all outstanding fees remain due and payable.

15. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
